Arrangements for the 2017 Volunteering Victoria Inc. AGM are:

Register for the AGM, Forum and Workshop

All current Members are invited to attend the Volunteering Victoria AGM, Forum and Workshop. Full Members of Volunteering Victoria are entitled to vote at the AGM.

If you are not a current Member, you can attend the Volunteering Victoria AGM, Forum and Workshop for a registration fee of $44.00 (incl. GST).  To renew your membership or to join Volunteering Victoria visit our website.

Business of the AGM

The business of the 2017 AGM shall be:
1.     Confirmation of Minutes of the 2016 AGM
2.     Presentation of the 2017 Annual Report
3.     Presentation of the 2017 Annual Financial Report*
4.     Report on the delivery of the Strategic Plan
5.     Election of Directors*
6.     Notices of Motion (if any)*
7.     Special Resolutions (if any)*.

*On or before 4 October 2017 you will be emailed a copy of our 2017 Annual Financial Report, and notification of any Nominations, Special Resolutions or Notices of Motion.


Nomination & Election of Directors

Election of Directors

  • Under the Volunteering Victoria Constitution the Board comprises up to nine Directors (seven Directors elected by Full Members and two Directors appointed by the Board).
  • At this AGM there will be an election for five Elected Director positions
  • Two Elected Director positions are currently vacant
  • Three current Elected Directors will be stepping down at this AGM as their terms are ending:
    • Robyn Rose (Retiring)
    • Luci Mumme (Appointed to fill a casual vacancy on 1 May 2017)
    • Con O’Brien (Appointed to fill a casual vacancy on 1 May 2017)
  • Both Luci Mumme and Con O’Brien are eligible for re-election.
  • Any Director, Member or representative of a Member of Volunteering Victoria, may nominate for each of these five Elected Director positions.

Nomination Process

  • A nomination must be signed by the proposer (a Director or Member), seconder (a Director) and the nominee.
  • Nominees should have appropriate skills and experience for a Volunteering Victoria Board position, understand the role of a not-for-profit Board and adhere to best practice governance principles.
  • All successful nominees will be required to sign a Confidentiality and Statement of Interests Agreement.
  • Each nomination must be on the Nomination Form included with this Notice and should include the specified background information on the nominee.
  • Nominations are due no later than 5.00pm AEST on Wednesday 27 September 2017.

Additional Information for Nominees

In order to achieve our strategic priorities and support the delivery of Volunteering Victoria’s strategic plan, we are keen to attract people to the Board from a wide-range of backgrounds, with a diversity of skills, expertise, special interests and qualifications, as well as business, public sector and not-for-profit experience. All prospective Directors should have a good understanding of corporate governance and be financially literate. The specific skills and experience identified as important in this election include:

  • NFP funding environment, especially philanthropic funding
  • Legal, including risk and compliance
  • Volunteering sector, programs & management
  • Digital innovation

Notices of Motion

Any Full Member or Director may submit a Notice of Motion (unless that motion is more than 1000 words long or defamatory).

Notices of Motion are due no later than 5.00pm AEST on Wednesday 27 September 2017 and should be returned to:

Voting and Appointment of Proxy

  • Only current financial Full Members of the Association may vote on any business transacted at the AGM
  • Each Full Member is entitled to one vote on each resolution.  Voting may be done in person at the AGM or by proxy.
  • A Full Member is entitled to appoint a person as their proxy to attend the meeting in their place.  An appointed proxy has the same rights as the Full Member who appointed them.  The Full Member appointing the proxy may give specific directions as to how the proxy is to vote on their behalf. Otherwise, the proxy may vote on behalf of the Full Member in any manner as he or she sees fit.
  • A Full Member appointing a proxy should do so using the attached Appointment of Proxy form. All completed Appointment of Proxy forms are due by 5.00pm AEST on Wednesday 27 September 2017 and should be returned to:
